LAY'S® SHOW YOUR EMOTIONS CONTEST (the "Contest")

OFFICIAL RULES (the "Rules")



This Contest is intended for viewing and participation in Canada only and shall be interpreted according to the laws of Canada. Participants must be legal residents of Canada who are 13 years of age or older at the time of entry.

1. SPONSOR/ADMINISTRATOR: The sponsor of this Contest is PepsiCo Canada ULC (the "Contest Sponsor"). The Contest is being administered on behalf of the Contest Sponsor by BBDO Canada (the " Administrator").

2. ELIGIBILITY: The Contest is open to legal residents of Canada, who are 13 years of age or older at the time of entry. The Contest is not open to employees, representatives or agents of the Contest Sponsor, the Administrator, the NHL Entities® (defined in Rule 20), the NHLPA (defined in Rule 20) or their respective divisions, subsidiaries, affiliates, franchisees, shareholders, members, officers, directors, representatives, agents, advertising and promotion agencies, Contest suppliers or judges (collectively, the " Contest Parties"), or members of the immediate families of (defined as parents, siblings, children and spouses, regardless of where they live) or persons domiciled with (whether related or not), any of the above.

3. Contest Period: The Contest begins at 12:00 pm (noon) Eastern Time (ET) on March 5, 2018 and ends at 11:59:59 pm (ET) on April 28, 2018 (the "Contest Period").

4. WHERE TO FIND CODES AND HOW TO ENTER: Unique Codes (as defined below) are located on specially marked 255g bags of Lay's ® Classic, Ketchup, Salt & Vinegar, BBQ, Dill Pickle, Sour Cream & Onion, Old Fashioned BBQ potato chips; 180g bags of Lay's ® Classic, Ketchup, Salt & Vinegar, BBQ, Old Fashioned BBQ potato chips; 66g bags of Lay's® Classic, Ketchup, Salt & Vinegar, BBQ, Dill Pickle, Old Fashioned BBQ potato chips; and 40g bags of Lay's® Classic, Salt & Vinegar, BBQ potato chips (collectively, the "Participating Products"), while supplies last. Not all products and package sizes are available in all areas. To request a Code without purchase, see Rule 5 below. Visit www.Lays.ca/ShowYourEmotions (the "Contest Website"), and follow the instructions to enter your unique ten (10) character code (" Code") and complete the registration form. You will need to provide your first name, last name, email, province / territory, and confirm that you are eligible and agree to participate in the Contest according to these Rules. If you are under the age of majority in your respective province / territory of residence at the time of entry, you must confirm that you have received permission to enter the Contest from your parent or legal guardian. If any Prize (as defined in Rule 6) is won by a minor, the parent or legal guardian of such a minor will also be required to accept the Prize and sign the Declaration of Compliance and Release (as outlined in Rule 8) on minor's behalf. Once you have completed the above, click "submit". Codes can either be obtained through the purchase of a Participating Product, or received through the No Purchase Request method as provided in Rule 5. Limit one (1) entry per unique and valid Code. Attempts to re-submit or re-use the same Code will be void and ineligible for entry.

Only one (1) email may be used by any person to participate in the Contest. Duplication or any attempts or suspected attempts, as determined in the sole discretion of the Contest Sponsor, to exceed the maximum number of entries or accounts per person or per email address is a violation of these Rules and may result in disqualification and forfeiting of any Prize. Entrant must not create false identities, or impersonate any person or entity, or falsely state or otherwise misrepresent an affiliation with any person or entity.

The sole determinant of time for the purposes of receipt of a valid entry in this Contest will be the Contest server(s). Automated, scripted or robotic entries are prohibited, and any use of such automated devices may result in disqualification. Proof of submission does not constitute proof of receipt.

In the event of a dispute over the identity of an entrant, the entry will be considered made by the Registered Owner (as defined in below) of the applicable email address. "Registered Owner" is defined as the natural person who is assigned an email address by the organization/individual that is responsible for assigning email addresses for the applicable platform.

Although Internet access and an email account are required to participate, if you do not have Internet access via a personal computer or device, your local public library, Internet café, retail business and others offer access to the Internet and a number of Internet service providers and other companies offer free email accounts.

5. NO PURCHASE NECESSARY. Purchase is not required and does not enhance a person's chance of winning. To obtain a unique Code without purchase, send an original fifty (50)-word essay about your favourite Lay's® flavour along with your name, province / territory and age by email to contests@themarcocorporation.com (the "No Purchase Request "). Essay must be original in concept and execution, and created by entrant. No Purchase Requests will be accepted starting March 1, 2018 (but can only be played starting March 5, 2018), until the end of the Contest Period. Within one (1) business day of receipt of a valid No Purchase Request, the Contest Sponsor's designated agent will reply to your email with one (1) unique Code. LIMIT one (1) No Purchase Request per email. There is no limit to the amount of No Purchase Requests that an entrant can submit. No Purchase Requests received on April 27, 2018 before 3:00 pm ET will receive a Code on the same day. No Purchase Requests received after 3:00 pm ET on April 27, 2018 will be automatically played based on the date it was received by the Administrator to ensure timely participation in the Contest. Each unique Code received through a No Purchase Request can only be used to enter the Contest once.

6. PRIZES:

(i) DAILY. Two (2) $50 pre-paid VISA credit cards are available to be won each day during the Contest Period (each, a " Daily Prize"). There are a total of one hundred and ten (110) Daily Prizes available to be won during the Contest Period. The Daily Prize is subject to the terms and conditions stated on the card.

The total number of Daily Prizes available to be won will diminish as awarded throughout the Contest Period. Limit one (1) Daily Prize per person or household during the Contest. Please allow 4 - 6 weeks following verification for delivery of Daily Prize.

The Daily Prize must be accepted as awarded and cannot be substituted, transferred, exchanged or surrendered for cash, except at the sole and absolute discretion of the Contest Sponsor, which may award a substitute prize of equal or greater value.

(ii) WEEKLY. One (1) prize is available to be won each week during the Contest Period, as identified in the chart below (each, a " Weekly Prize").

There are a total of eight (8) Weekly Prizes. The total number of Weekly Prizes available to be won will diminish as awarded throughout the Contest Period. Limit one (1) Weekly Prize per person or household during the Contest. Please allow 4 - 6 weeks following verification for delivery of Weekly Prize.

The Weekly Prize must be accepted as awarded and cannot be substituted, transferred, exchanged or surrendered for cash, except at the sole and absolute discretion of the Contest Sponsor, which may award a substitute prize of equal or greater value.

(iii) GRAND PRIZE. There is one (1) grand prize available to be won, consisting of one (1) trip for two (2) to attend the 2018 NHL Awards™ and After Party (the "Event") scheduled to be held in Las Vegas, NV, USA (the "Grand Prize"). The Grand Prize consists of return economy air transportation for two (2) from the major airport nearest the Grand Prize winner's primary place of residence in Canada to Las Vegas, NV, USA (airport, carrier and airline ticket class selected at the sole and absolute discretion of the Contest Sponsor), ground transportation to and from destination airport, one (1) standard room, based on double occupancy, for three (3) nights (accommodation to be selected at the sole and absolute discretion of the Contest Sponsor), two (2) tickets to the 2018 NHL Awards™ scheduled to be held in June 2018 (actual seat selection to be chosen at the sole and absolute discretion of the NHL), a VIP Meet & Greet with an NHL® player (duration, location and timing of meet & greet, and player (who may be subject to change) to be selected at sole and absolute discretion of NHLPA), two (2) NHL® themed gift packs and $2,000 CAD spending money for winner only. The approximate retail value (" ARV") is $6,626 CAD which is based on a departure from Toronto, ON. Actual value may vary depending on winner's point of departure and air fare.

Additional Grand Prize Conditions: The Grand Prize must be accepted as awarded and cannot be substituted, transferred, exchanged or surrendered for cash, except at the sole and absolute discretion of the Contest Sponsor, which may award a substitute prize of equal or greater value. Due to the nature of the Grand Prize, no alternate travel dates are available. The difference between the approximate retail value and actual retail value, if any, will not be awarded. The Grand Prize winner and his/her guest are responsible for all other expenses not specifically mentioned herein, including, without limitation, ground transportation to and from departure airport, meals, gratuities, taxes, travel documents, telephone calls, in-room movies, mini-bar expenses, room service, medical and travel insurance, excess baggage costs, optional tours, airport departure taxes, duties, all personal expenses and all other expenses not specified herein. The Grand Prize winner's guest must be a legal resident of Canada. Any minor participating in the Grand Prize (as either a winner or guest) must travel with, and be accompanied at all times by, an adult who is either (i) the minor's parent or legal guardian, or (ii) an individual authorized by all parents(s)/legal guardian(s) of the minor. The Grand Prize winner and his/her guest must travel together on the same itinerary. Transportation and accommodations are subject to availability, government restrictions and regulations, hotel, airline, airport or other transportation restrictions and regulations. Other restrictions may apply. The Grand Prize winner and his/her guest are responsible for obtaining all required medical and travel related necessities (including vaccinations) and documentation, including a valid passport and the right to enter the United States of America. If the Grand Prize winner does not have proper travel documentation, or any applicable permission to enter the destination country, or does otherwise not accept or participate in any portion of the Grand Prize for any reason whatsoever (including reasons beyond the control of the Grand Prize winner such as inclement weather delaying or cancelling a portion of the trip), then that portion of the Grand Prize is forfeited by the Grand Prize winner (and his/her guest), and the Contest Sponsor shall have no further obligation or liability to Grand Prize winner with respect to the forfeited portion of the Grand Prize. It is recommended that the Grand Prize winner and his/her guest obtain sufficient personal travel insurance (including emergency medical) prior to departure. The Grand Prize winner and his/her guest are responsible for transportation to and from the departure airport. The Contest Sponsor is not liable if travel is impeded or refused by reason of decisions of any governmental authorities (foreign or domestic), or other airline or airport authorities. The Grand Prize winner and his/her guest (or parent/legal guardian of any minor winner or guest) must sign and return the Contest Sponsor's form of Release (as defined below) prior to the Grand Prize being ticketed. No responsibility is assumed by the Contest Sponsor if any element(s) of Grand Prize are cancelled, delayed, suspended or rescheduled after ticketing of the Grand Prize for any reason whatsoever beyond its control. If, for any reason, any element of the Grand Prize trip does not occur, that portion of the Grand Prize will be forfeited without additional compensation and the remainder of the Grand Prize will be awarded. The Contest Parties shall not be liable for injury, loss, or damage of any kind, resulting from the acceptance, use or misuse of the Grand Prize, travel related thereto or otherwise from participation in the Contest. The Grand Prize will be delivered to the winner's address as provided to the Contest Sponsor. Deliveries will not be made to PO Box addresses. The Grand Prize is only redeemable around a short window of time in connection with the Event. Grand Prize winner must provide thirty (30) days' notice prior to his/her requested departure date (which shall be within a few days of the Event), and once made, travel plans may only be changed at discretion of the Contest Sponsor. No responsibility is assumed by the Contest Parties for any postal mail or courier delivery returned as undeliverable without a forwarding address. No responsibility is assumed by the Contest Parties for Prize after shipping.

The Grand Prize winner acknowledges that the Contest Parties have not made or are not in any manner responsible or liable for any warranty, condition, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose.

Resale of NHL® event tickets is prohibited. Grand Prize winner and guest must abide by all venue policies and event ticket terms and conditions. The Contest Sponsor reserves the right to revoke the full or partial Prize from any winner or guest who the Contest Sponsor or venue personnel deem in their sole discretion, may be intoxicated, be a safety risk, have violated any venue policy or law, or bring the Contest Parties into disrepute.

Daily Prize, Weekly Prize and Grand Prize may be collectively referred to as "Prizes".

7. DRAWS:

(i) Daily Prize Draws: On each of the Draw Dates outlined in the table below, two (2) entries will be randomly selected from among all eligible entries received during each Calendar Day in the Contest Period as eligible to win a Daily Prize (the " Daily Prize Draw"). For the purposes of these rules, a calendar day is any period within the Contest Period beginning at 12:00:00 am ET (i.e. midnight) and ending at 11:59:59 pm ET, except for the first calendar day of the Contest which begins at 12:00 pm (noon) ET.

In the event that there are no entries received for any Daily Prize during the Contest Period, that Daily Draw will not be conducted and that Daily Prize will not be awarded.

(ii) Weekly Prize Draws: On each of the Weekly Draw dates outlined in the table below, one (1) entry will be randomly selected from among all eligible entries received during each week of the Contest Period as eligible to win a Weekly Prize (the "Weekly Prize Draw ").

All draws will take place at 2:00 pm ET at 2 Bloor Street West, Toronto, ON. The odds of winning a Weekly Prize depend on the total number of eligible entries received for each draw. In the event that there are no entries received for any Weekly Prize during the Contest Period, that Weekly Prize Draw will not be conducted and that Weekly Prize will not be awarded.

(iii) Grand Prize Draw: On May 1, 2018, following the last Daily Prize Draw and Weekly Prize Draw as provided above, a random draw will be conducted from among all eligible entries received during the Contest Period to select an entry as eligible to win the Grand Prize. The odds of winning the Grand Prize depend on the total number of eligible entries received during the Contest Period.

8. HOW TO CLAIM A PRIZE:

(i) Daily: If you are selected as eligible to win a Daily Prize, you will be notified by email within three (3) business days following the draw (the "Daily Prize Notification"). In order to be declared a winner, a potential winner must: (i) respond to correspondence from the Contest Sponsor's designated agent within five (5) business days of Daily Prize Notification; (ii) correctly answer, without assistance of any kind, whether mechanical, electronic or otherwise, the required mathematical skill-testing question; (iii) sign (or, if a minor, have their parent/legal guardian sign) a Prize claim form and release of liability releasing the Contest Parties from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of any Prize or any portion thereof and return to the Contest Sponsor's designated agent by fax or email within five (5) business days of receipt of the Prize claim form and release of liability; and (iv) otherwise comply with these Rules. If a potential Daily Prize winner fails to meet any of these requirements, he/she may be disqualified and forfeit the Daily Prize. The Contest Sponsor may then, at its sole and absolute discretion, select by random draw another eligible entrant whom the Contest Sponsor or its representatives will attempt to contact, and who will be subject to disqualification in the same manner. The Contest Sponsor will not be responsible for failed attempts to notify any potential Daily Prize winner.

No responsibility is assumed by the Contest Sponsor for Daily Prizes after they have been shipped, and each winner bears all risk of loss or damages to his/her Daily Prize after shipping. The Contest Sponsor makes no representations, warranties or conditions of any kind concerning the appearance, safety or performance of any Daily Prize. Unclaimed Daily Prizes will not be awarded.

(ii) Weekly: If you are selected as eligible to win a Weekly Prize, you will be notified by email within three (3) business days following the draw (the " Weekly Prize Notification"). If a potential Weekly Prize winner fails to meet any of these requirements, he/she may be disqualified and forfeit the Weekly Prize. The Contest Sponsor may then, at its sole and absolute discretion, select by random draw another eligible entrant whom the Contest Sponsor or its representatives will attempt to contact, and who will be subject to disqualification in the same manner. The Contest Sponsor will not be responsible for failed attempts to notify any potential Weekly Prize winner.

No responsibility is assumed by the Contest Sponsor for Weekly Prizes after they have been shipped, and each winner bears all risk of loss or damages to his/her Weekly Prize after shipping. In order to be declared a winner, a potential winner must: (i) respond to the Grand Prize Notification from the Contest Sponsor's designated agent within five (5) business days of Contest Sponsor's Grand Prize Notification; (ii) correctly answer, without assistance of any kind, whether mechanical, electronic or otherwise, a required time-limited mathematical skill-testing question to be administered by the Contest Sponsor's designated agent at a mutually agreeable time; (iii) sign (or, if a minor, have their parent/legal guardian sign) a form of declaration of compliance and release of liability releasing the Contest Parties from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of any Prize or any portion thereof and return to the Contest Sponsor's designated agent by fax or email within five (5) business days of receipt of the declaration of compliance and release of liability; and (iv) otherwise comply with these Rules. If a potential winner fails to meet any of these requirements, he/she will be disqualified and forfeit the Grand Prize. The Contest Sponsor may then, at its sole and absolute discretion, select by random draw another eligible entrant whom the Contest Sponsor or its representatives will attempt to contact, and who will be subject to disqualification in the same manner. The potential winner may be required to furnish proof of identification that may include a driver's license or other form of photo identification as part of the verification process. The Contest Sponsor will not be responsible for failed attempts to notify any potential Grand Prize winner.

9. CODES: Only Codes obtained from specially marked Participating Products or through legitimate No Purchase Requests are eligible for this Contest. Codes cannot be combined with codes or offers from any other game or promotion. A Code will not be redeemed for an entry where the Code is deemed to be void for any reason, including without limitation, the following: Code is not verified or recognized as a valid Code issued by the Contest Sponsor in this Contest; Code is determined to be previously entered and used; or Code is incorrectly or incompletely entered or submitted. The Contest Parties shall have no liability or obligation to the holder of, or in respect of, any void Code. Notwithstanding the foregoing, the Contest Sponsor may, upon request and at its sole discretion and without obligation, elect to replace an illegible or ineligible Code with another randomly selected Code. The Contest Sponsor reserves the right to inspect and examine any illegible or ineligible Code prior to issuing a replacement. Codes cannot be sold, traded, bartered, assigned or transferred to or shared with a third party, auctioned through an online auction site, or otherwise or obtained through any source other than from one of the methods mentioned above. Codes are null and void and will be rejected if not obtained through authorized, legitimate channels.

10. ADDITIONAL CONDITIONS OF PARTICIPATION: By participating in this Contest, each entrant accepts and agrees to these Rules and all decisions of the Contest Sponsor, which shall be final and legally binding on the entrant in all matters relating to this Contest including, without limitation, eligibility and/or disqualification of entries. All entries become the property of the Contest Sponsor and will not be acknowledged or returned. No responsibility is assumed by the Contest Parties for any inability for a potential entrant to successfully enter any draw for any reason. The Contest Parties are not responsible for late, lost, damaged, misdirected, mutilated, garbled, illegible or incomplete entries. Proof of transmission (e.g. screenshots) does not constitute proof of receipt by the Contest Sponsor. By submitting an entry to this Contest, entrants confirm their compliance with these Rules, and release the Contest Parties from all liability or responsibility for any claim arising in connection with entrant's acceptance, use or misuse of the Prize or otherwise from such entrant's participation in this Contest. By entering this Contest, each entrant and winner acknowledges and agrees that the Contest Parties disclaims any implied warranty.

11. DISPUTES:

(a) residents of quebec: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a Prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

(b) RESIDENTS OF CANADA, EXCLUDING QUEBEC: All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of entrant and the Contest Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the substantive laws of the Province of Ontario without regard to conflicts of law principles. All entrants consent to the jurisdiction and venue of the Province of Ontario.

12. Any attempt by an entrant or other individual to deliberately damage any website or undermine the legitimate operation of this Contest, including but not limited to any fraudulent claims, is a violation of criminal and civil laws. Should such an attempt be made, the Contest Sponsor reserves the right to seek remedies and damages from any such individual, to the fullest extent permitted by law, including criminal prosecution. Participants engaging in any of the foregoing activities may be disqualified and will forfeit any Prizes won.

13. Entries generated (or suspected to have been generated) by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified.

14. The Contest Sponsor may, at its sole discretion and without liability, terminate the Contest in whole or in part, without notice, or modify or suspend the Contest at any time, subject to the approval of the Régie des alcools, des courses et des jeux with respect to the province of Quebec, if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or communications or any other errors or other causes beyond the control of the Contest Sponsor corrupt the administration, integrity or security of the Contest or if any other factor interferes with the conduct of this Contest as contemplated by these Rules. In no event will the number of Prizes awarded exceed the available number of Prizes as specified in these Rules.

15. The Contest Parties are not responsible for (and reserves the right, in their sole discretion, to correct) typographical or other errors in the offer or administration of this Contest, including but not limited to, errors in advertising, the Rules, the selection and announcement of winners, distribution of the Prizes or technical malfunctions of telephone network lines, computer online systems, servers or providers, computer equipment or software, viruses, bugs, failure of personal computers and/or software and hardware configurations, or failure of any email to be received by the Contest Sponsor or a participant for any reason including but not limited to traffic congestion on the Internet or at any website or combination thereof. The Contest Parties are not responsible for damage to a user's system occasioned by participation in this Contest or downloading any information necessary to participate in this Contest. The Contest Parties do not warrant that access to or use of the Contest will be uninterrupted or error-free.

16. This Contest is subject to all applicable federal, provincial, territorial and municipal laws. Void where prohibited.

17. The Contest Sponsor's failure to enforce any term of these Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. If any provision of the Rules is determined to be invalid or otherwise unenforceable, then the Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

18. By participating in this Contest or accepting a Prize, you agree to the Contest Sponsor's use of your name, city/province/territory of residence, picture, biographical information, statements, voice and likeness in any advertising and publicity the Contest Sponsor may conduct relating to the Contest in any media or format, whether now known or hereafter developed, including but not limited to the World Wide Web, at any time or times in perpetuity, without further compensation or notice.

20.
